河南能源集团与平煤神马集团战略重组重大进展

Significant progress in the strategic reorganization of Henan Energy Group and Pingmei Shenma Group

近日，中国平煤神马控股集团有限公司(以下简称中国平煤神马集团)在郑州举行揭牌仪式，河南能源集团和平煤神马集团战略重组取得阶段性重大成果。 仪式现场，河南省政府国资委党委委员、副主任李海峰宣读了《河南省人民政府关于河南能源集团和中国平煤神马集团战略重组方案的批复》。

Recently, China Pingmei Shenma Holding Group Co., Ltd. (hereinafter referred to as China Pingmei Shenma Group) held an unveiling ceremony in Zhengzhou. The strategic reorganization of Henan Energy Group and Pingmei Shenma Group has achieved significant results in stages. At the ceremony, Li Haifeng, member of the Party Committee and Deputy Director of the State-owned Assets Supervision and Administration Commission of the Henan Provincial Government, read out the "Reply of the Henan Provincial People's Government on the Strategic Reorganization Plan of Henan Energy Group and China Pingmei Shenma Group."

战略重组完成后，中国平煤神马将把主业聚焦到能源和功能材料上，围绕智能化赋能、绿色化转型、融合化创新，着力打造煤焦、尼龙化工、硅碳新材料、电力及新能源等业务板块，积极布局特种尼龙纤维、氢能与新型储能、生物制造等领域，谋划实施绿能植入专项行动，加快建设具有国际竞争力的世界一流能源和功能材料企业。

After the strategic reorganization is completed, China Pingmei Shenma will focus its main business on energy and functional materials, focusing on intelligent empowerment, green transformation, and integrated innovation, and strive to build coal char, nylon chemicals, new silicon-carbon materials, electric power and new energy and other business sectors, actively deploy special nylon fibers, hydrogen energy and new energy storage, biomanufacturing and other fields, plan and implement special actions for green energy implantation, and accelerate the construction of a world-class energy and functional materials enterprise with international competitiveness.

重组后的中国平煤神马集团资产总额5900亿元，营收规模近3000亿元，拥有5家上市公司，主要产品主焦煤品质、轮胎骨架材料产能世界领先，尼龙66盐、工程塑料产能位居亚洲第一方阵，无烟煤品质，聚甲醛、硅烷气、超高功率石墨电极产能位居全国前列，煤炭储量300多亿吨，岩盐储量23亿吨，为高质量发展奠定了坚实的资源与产业基础。

After the reorganization, China Pingmei Shenma Group has total assets of 590 billion yuan, revenue of nearly 300 billion yuan, and 5 listed companies. Its main products are world-leading in coking coal quality, tire skeleton material production capacity, nylon 66 salt and engineering plastics production capacity ranks first in Asia, anthracite quality, polyoxymethylene, silane gas and ultra-high power graphite electrode production capacity ranks among the top in the country, with coal reserves of more than 30 billion tons and rock salt reserves of 2.3 billion tons, laying a solid resource and industrial foundation.

2025年9月25日，河南省委、省政府决定对河南能源集团有限公司和中国平煤神马控股集团有限公司实施战略重组。

On September 25, 2025, the Henan Provincial Party Committee and Provincial Government decided to implement strategic reorganization of Henan Energy Group Co., Ltd. and China Pingmei Shenma Holding Group Co., Ltd.

2025年11月7日，河南省政府国资委与河南能源集团、中国平煤神马集团签署《战略重组框架协议》，约定河南省国资委将以持有的河南能源集团100%股权对中国平煤神马集团增资，增资完成后河南能源成为其全资子公司。

On November 7, 2025, the State-owned Assets Supervision and Administration Commission of Henan Provincial Government signed the "Strategic Reorganization Framework Agreement" with Henan Energy Group and China Pingmei Shenma Group, stipulating that the State-owned Assets Supervision and Administration Commission of Henan Province will use 100% of its equity in Henan Energy Group to China Pingmei Shenma Group increased its capital, and after the capital increase was completed, Henan Energy became its wholly-owned subsidiary.
